These terms are a plain-English agreement between you and Gregory McCullough Enterprises LLC, a New York limited liability company and the developer of Reaction Spark ("we", "us", "our"). By downloading, opening or using the app you accept them. We have written them to be read, not to be skipped.
Please read "Settling disputes" near the end. It requires most disagreements between us to go to individual arbitration instead of to a court, and it gives up your right to a jury and to take part in a class action. You have 30 days to opt out of it, and opting out costs you nothing.
You must be at least 13 years old. If you are under the age of majority where you live, a parent or guardian has to agree to these terms with you, and by using the app you confirm one has.
You also confirm you are not barred from using the app under the laws that apply to you.
You own everything you record and everything you export. Full stop.
We claim no license, no rights and no ownership over your footage, your voice, your captions or your brand kit. We do not use your content to promote the app, and we do not use it to train anything. This is not a courtesy we can withdraw later: the app has no way to send us your content in the first place.
We give you a personal, limited, non-exclusive, non-transferable, revocable license to use one copy of Reaction Spark on Apple devices that you own or control, as permitted by the App Store Terms of Service. That license is for using the app as it is meant to be used, and nothing more.
Within that, you may use Reaction Spark to create videos, including for commercial purposes, and to publish them anywhere you like. There is no watermark on your exports and no attribution requirement.
All rights reserved. The app itself, its source code, its design, its interface, its processing and effects, its name, its logo and everything else we made stays ours and our licensors'. These terms give you permission to use the app. They do not give you any ownership of it, and any right we have not clearly given you here, we keep.
You agree not to copy, sell, rent, sub-license, modify, translate, reverse engineer, decompile or disassemble the app, or try to get at its source code, except where the law says you may do so regardless of what an agreement says.
You agree not to use Reaction Spark to create, export or publish anything that:
You also agree not to interfere with the app's operation, work around any limits on features your plan does not include, or use the app to build a competing product.
Reaction Spark lets you record yourself over a video or photo you supply. You are responsible for having the right to use that material.
Reacting to someone else's video is not automatically permitted just because the tool makes it easy. Depending on where you are and what you publish, it may be fair use or fair dealing, it may require permission, or it may breach a platform's rules. That judgement is yours, not ours, and we cannot make it for you.
The same goes for any music you bring in. Owning a copy of a song, or pulling the audio out of a video, is not the same as having the right to publish it in your own video. Check before you post.
Fonts work the same way. If you import your own font file into a brand kit, that font stays on this iPhone and is never uploaded to us or to anyone else, but you are the one responsible for holding a license that covers using it in the videos you publish. Many free fonts are free for personal use only. We do not check, and we cannot.
Everything Reaction Spark makes stays on your device, so we do not host anyone's videos and there is nothing for us to take down. If you believe someone used our app to infringe your rights, the place to send a takedown notice is the platform they published on.
If you believe the app itself infringes your rights, write to [email protected] with enough detail to identify the work and the problem, and we will look into it.
*This section applies once paid subscriptions are available in the app.*
The three free exports. When you first install the app you can export three finished videos without paying and without giving us any payment details. They are counted on your iPhone, they carry no watermark, and they are yours to post anywhere. The offer is limited to three exports and to the first seven days after you first open the app, whichever comes first, and an export only counts once the video has finished saving to your Photos. After that you need a plan to export more. Everything you exported during those three stays yours.
What you keep if you stop paying. Everything you have already exported stays yours forever. Your saved takes and your brand kit stay on your device. You will lose access to paid features, but we will not take away a feature that was free when you got it in order to sell it back to you later.
We may change our prices, our plans, what each plan includes, and these terms. We may also change, suspend or stop any part of the app.
Two promises about how we do it:
Everything else about the app, including features, limits and availability, may change at any time without notice.
You can leave whenever you want, for any reason or none.
Your exports and your saved takes live on your device, so leaving does not delete them. Deleting the app does.
We may suspend or end your access if you seriously or repeatedly breach these terms, if we are required to by law, or if keeping you on would expose us or other people to real risk. Where it is reasonable to do so, we will tell you why and give you a chance to put it right first.
If we end this agreement without you having breached it, and you have paid for a subscription period you can no longer use, ask Apple for a refund of the unused part.
We work hard to make Reaction Spark reliable, but we cannot promise it will be free of bugs, that it will always be available, that it will suit every purpose, or that a recording will always succeed. The app is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement, to the fullest extent the law allows.
Back up anything you cannot afford to lose. Export what matters to you and keep it somewhere other than one phone.
To the extent permitted by law:
Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or any other liability that cannot be limited by agreement. Nothing in these terms limits any right you have under consumer law that cannot be limited by agreement. Some places do not allow some of these limits, and in those places they apply only as far as the law lets them.
You agree to defend, indemnify and hold harmless Gregory McCullough Enterprises LLC and its owners, officers, employees and contractors from any claim, demand, loss, liability, damage, fine or cost, including reasonable legal fees, that arises out of:
In plain terms: we built a tool, you decide what to make with it and where to put it. If someone comes after us because of something you published, that one is yours to carry, and you will cover what it costs us. We will tell you promptly if a claim like that arrives, and you may run the defence, but you may not settle anything that admits fault on our behalf or costs us money without our written agreement.
Reaction Spark is distributed through Apple's App Store, and Apple requires us to say the following, all of which is true:
These terms cover the Reaction Spark app. The website at reactionspark.com is ours as well, and two things are worth saying about it.
The writing, images and design on this site belong to Gregory McCullough Enterprises LLC. You are welcome to read it, quote a line of it with a link back, and send it to anybody. You may not republish it as your own.
If you give us your email address on this site, we will use it to tell you about Reaction Spark and you can leave at any time from the link in any email. What happens to that address is set out in the Privacy Policy.
Please read this. It changes how a dispute between us gets decided.
Talk to us first. Most problems are a misunderstanding or a bug. Write to [email protected] describing the problem and what you want, and give us 30 days to sort it out. Most things end here.
Arbitration. If we cannot sort it out, you and we agree that any dispute arising out of or relating to the app or these terms will be settled by binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will be held in the county where you live, or by phone or video, or on documents alone, whichever you choose. The arbitrator's decision can be entered as a judgment in any court with jurisdiction.
No class actions. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not combine more than one person's claims. You and we both give up the right to a jury trial.
What is not covered. Either of us may bring a claim in small claims court instead, if it qualifies. Either of us may go to court for an injunction to stop misuse of intellectual property. Nothing here stops you from reporting something to a government agency.
How to opt out. You can refuse this whole section. Send an email to [email protected] with the subject line "Arbitration opt-out", within 30 days of first accepting these terms, saying you opt out and giving the name and email you use with us. That is all it takes. Opting out changes nothing else about your account and we will not treat you any differently for it. If you opt out, disputes go to the courts named under Governing law.
If part of this section is unenforceable, the rest still stands, except that if the no-class- actions paragraph is held unenforceable for a particular claim, that claim goes to court and the rest of the disputes stay in arbitration.
If you are a consumer in the United Kingdom, the European Union or the European Economic Area, this section does not take away any right you have to bring proceedings in the courts of the country where you live, or to use an official dispute resolution scheme, and it applies to you only as far as the law of your country allows.
These terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law rules. Where a dispute is not sent to arbitration, it belongs to the state or federal courts located in New York, and you and we both agree to their jurisdiction. If you are a consumer outside the United States, this does not deprive you of the protection of the mandatory law of the country where you live.
